# Private Raises

> Private exempt offerings a company has notified in quarterly Form D data sets

Look up a company’s private offerings by issuer CIK from its Form D and D/A notices: amounts sought, sold and remaining, exemption, security types, industry, investor counts and related persons. For example, “How much has Southview Timberland Fund raised privately and under which exemption?” or “Show the amounts and investors behind a Form D, beyond the filing documents listed by company\_filings.” Quarterly Form D and D/A notices of exempt offerings, posted about a week after each quarter ends. The current quarter’s notices are not yet included. Amendments are listed as their own notices with previous\_accession\_number, so the newest notice of an offering carries its latest figures. Issuer and related-person street addresses, ZIP codes and phone numbers are excluded.

The API reads the stored quarterly releases; calling this tool does not contact the source. `cik` is required. Invalid inputs and unavailable datasets are refused before payment.

## Input

* `cik`: Issuer CIK, 1 to 10 digits
* `filed_after`: First filing date inclusive, YYYY-MM-DD
* `filed_before`: Last filing date inclusive, YYYY-MM-DD
* `limit`: Page size, 1-50, default 20
* `offset`: Notices to skip, 0-10000, default 0

## Result

Results are under `data`. Notices are ordered by filing date descending, then accession. `total` counts notices before paging. An amendment (`form` `D/A`) is its own notice and names the notice it amends in `previous_accession_number`, so the newest notice of an offering carries its latest figures. `total_offering_amount` and `total_remaining` are null when the source says Indefinite, with the matching `*_indefinite` flag true. Issuer and related-person street addresses, ZIP codes and phone numbers, signatures and sales recipients are excluded.

`as_of` is the newest loaded quarter’s end. `retrieved_at` is when that release was acquired. Coverage states the first loaded quarter, which starts at 2024q1 during normal backfill. An empty result means no Form D or D/A notice for the issuer in the loaded quarters and filters; it does not prove the issuer raised no private capital.
